Terms & Conditions
These Terms & Conditions govern your use of the 360 eMarket website and the services we provide. By using our website or engaging our services, you agree to these terms.
Acceptance and application
These Terms govern the website and services of 360eMarket, trading as 360 eMarket, registration number J402204. By signing or electronically accepting a proposal, statement of work, order form, or service agreement referencing these Terms, you agree to them and confirm authority to act for your organization. Visiting the website alone creates no obligation to purchase services.
An accepted proposal, statement of work, or order form is a Service Agreement. In a conflict, a separately signed agreement takes precedence, followed by the Service Agreement, then these Terms. A data processing agreement takes precedence for personal data processing matters.
Our services
We provide digital marketing and paid advertising; website design and development; Search Engine Optimization (SEO); Generative Engine Optimization (GEO) for AI-powered search and answer platforms; graphic design; business automation and integrations; mobile application development; AI-assisted video production; social media management; and domain registration and hosting.
Your Service Agreement defines deliverables, exclusions, milestones, fees, revision allowances, timelines, and support. Services not expressly included are outside scope.
Proposals, scope changes, and timelines
Quotes remain valid for 30 days unless stated otherwise. Schedules depend on timely payment, access, materials, feedback, and approvals. Dates are estimates unless expressly agreed as binding.
Additional features, revisions, integrations, or changes to approved work may affect cost and timing. We obtain written approval of additional charges and material schedule changes before proceeding. Client delays may require rescheduling after notice; any restart fee must be disclosed and agreed in advance.
Fees, payments, and third-party costs
Fees, currency, deposits, payment milestones, and due dates are stated in the Service Agreement or invoice. Work may begin after required payment and materials arrive. Fees exclude applicable taxes and third-party expenses unless expressly included.
Third-party expenses may include advertising spend, domain fees, hosting, premium software, licensed assets, AI and API usage, automation subscriptions, and app store accounts. We obtain approval before incurring these costs unless covered by an approved budget.
We may suspend affected services for overdue undisputed invoices after written notice and a reasonable opportunity to pay. Late charges must be stated in the Service Agreement and lawful. Notify info@360emarket.io promptly of billing disputes; undisputed sums remain payable.
Recurring services, renewals, and cancellation
The Service Agreement specifies billing frequency, initial term, renewals, and cancellation arrangements. Automatic renewal applies only if clearly disclosed and expressly accepted. Send cancellation notices to info@360emarket.io, subject to agreed minimum commitments and notice periods.
Unless otherwise agreed, monthly services continue month to month and may be cancelled with 30 days’ written notice, effective at the end of the notice period. Recurring fee changes require at least 30 days’ notice and take effect at the next renewal or billing period following that notice, subject to fixed-price commitments and applicable law. Cancelling our services does not cancel subscriptions held directly with third parties.
Refunds
On early termination, we calculate fees earned for work performed and approved, non-cancellable third-party commitments incurred. Prepayments exceeding those sums are refunded. Deposits apply toward services and are not automatically forfeited on cancellation.
Properly completed work is generally non-refundable, subject to contractual remedies and applicable law. Third-party charges are refundable to the extent recoverable. Mandatory refund, cancellation, and consumer rights remain unaffected.
Client responsibilities
Provide accurate instructions, lawful materials, timely feedback, and secure account access. Appoint an authorized contact for consolidated instructions and approvals. Ensure you have rights to supplied content and accounts, and obtain required permissions, consents, and industry approvals.
Review deliverables for factual accuracy, pricing, claims, and business requirements. Inform us of restrictions involving confidentiality, personal data, regulated content, and AI use. You remain responsible for the legality of your offers and business claims; we remain responsible for our own contractual and legal obligations.
Reviews, revisions, and acceptance
Revision allowances follow the Service Agreement. New concepts, creative directions, and extra functionality may require a scope change. Unless otherwise agreed, you have 10 business days after delivery to identify material departures from agreed requirements. We correct verified failures within scope without extra professional fees.
Written approval or authorization to launch constitutes acceptance. Silence alone is not acceptance unless an alternative process is expressly agreed. Acceptance does not waive hidden-defect remedies, agreed warranties, or mandatory rights.
Digital marketing, SEO, and GEO
We use reasonable skill and care to implement the agreed strategy. Competition, budgets, market conditions, website quality, algorithms, platform policies, and customer behavior affect performance. We do not guarantee rankings, indexing, AI mentions, visibility, traffic, leads, conversions, revenue, return on investment, or a fixed timeframe for results.
We will not knowingly use deceptive practices, fabricated reviews, unauthorized account activity, or unlawful or platform-prohibited methods. Advertising budgets are separate unless included. Spending limits and campaign adjustment authority are agreed in advance. Platform estimates and attribution models may differ.
Social media management
The Service Agreement identifies platforms, posting frequency, formats, approvals, and community management. Continuous monitoring, emergency response, customer support, and crisis communications are excluded unless included expressly.
We publish through the agreed approval process. Promptly communicate changes to pricing, availability, promotions, and claims. You retain account ownership. Platform restrictions and moderation are outside our control; we remain responsible for issues caused by our breach or lack of reasonable care.
Website and mobile application development
Development follows agreed specifications and supported devices, systems, browsers, and integrations. Ongoing maintenance, major upgrades, new features, accessibility certification, security audits, and changes resulting from later third-party updates are excluded unless included.
Unless another warranty period is agreed, we correct reproducible defects reported within 30 days of acceptance that materially depart from specifications. This excludes unauthorized modifications, misuse, and subsequent third-party changes. App store approval, timing, and availability cannot be guaranteed. Code, repositories, access, documentation, and editable-file handover follow the Service Agreement and ownership terms.
Graphic design and creative assets
Design follows the approved brief, concepts, and revision limits. Unused concepts, working files, editable sources, font files, and non-transferable licenses are excluded unless expressly included.
Third-party assets retain their license conditions; we identify material restrictions affecting intended use. Trademark searches, registration, and legal clearance are separate unless included. Screen and print colors may vary with devices, materials, and production methods.
Automation and integrations
Automations depend on external software, APIs, permissions, and usage limits. Changes may require additional maintenance or redevelopment. Before deployment, we agree material workflows, tests, permissions, and required human approval steps.
Automations involving payments, deletion, external communications, or sensitive data must operate within agreed permissions and safeguards. Monitoring, incident response, and maintenance are included only where specified. Notify us of connected-account and process changes affecting operation.
AI video production and AI-assisted services
Where agreed, we may use AI for video, imagery, voice, text, design, or automation. You must hold appropriate rights and documented consent for supplied likenesses, voices, recordings, and protected materials. We will not knowingly create unauthorized impersonations, deceptive endorsements, or unlawful synthetic media.
AI outputs may contain inaccuracies, inconsistencies, or similarities to other materials. We apply the agreed review process; you approve factual claims and intended use before publication. Copyright, exclusivity, and transferability may be limited by law and provider terms. We cannot transfer nonexistent or non-transferable rights.
We will not submit your confidential information or personal data to AI tools without authorization and appropriate contractual and data safeguards. Required disclosures or synthetic-media labels follow applicable law, platform rules, and the agreed scope.
Domain registration and hosting
Domains registered for you identify you or your nominated organization as registrant, subject to registry requirements. Availability is confirmed only on registration. Registrar and registry terms govern registration, renewal, transfer, expiry, redemption, and disputes.
The Service Agreement allocates renewal responsibility. Where we manage renewals, notices go to your designated contact; keep contact and payment details current. Hosting plans define storage, bandwidth, security, backups, support, and availability. No specific uptime or recovery commitment applies without a written service level agreement.
Backup frequency, retention, and restoration responsibilities must be documented. Maintain independent copies of critical information. We reasonably assist authorized transfers and migrations; assistance fees are disclosed in advance. Unpaid fees do not transfer ownership of domains or client accounts to us. Malware, phishing, spam, unlawful content, and infrastructure abuse are prohibited; urgent threats or legal requirements may require suspension.
Intellectual property and account ownership
You retain your supplied materials, data, trademarks, and intellectual property, granting us permission to use them only to deliver services. After full payment for the relevant deliverable, we assign the transferable rights we own in final bespoke work created for you.
We retain pre-existing tools, reusable code, templates, methods, libraries, and know-how. Embedded in paid deliverables, these carry a perpetual, worldwide, non-exclusive license needed to operate, maintain, and modify the deliverable, subject to disclosed third-party restrictions. Third-party and open-source components retain their licenses.
Your advertising, analytics, domain, social, and app store accounts remain yours. Where practical, accounts are created in your name with delegated access for us. Portfolio display or identifying you as a client requires prior written permission.
Confidentiality and data protection
Both parties protect confidential information with reasonable safeguards and use it only to perform or administer the agreement. Exceptions include lawfully public, previously known, independently developed, or lawfully received information. Legally compelled disclosure is permitted with prior notice where lawful.
Personnel and approved providers may access information on a need-to-know basis under confidentiality obligations. Our Privacy Policy explains processing for our own business purposes. Where required, a data processing agreement addresses client-directed processing, security, subprocessors, transfers, incident reporting, and return or deletion. Neither party may reuse confidential information or personal data for unrelated purposes without a lawful basis and necessary authorization.
Third-party platforms and providers
Search engines, social networks, hosting, payment processors, app stores, AI providers, and software vendors may have separate terms, fees, and privacy practices. We disclose material dependencies.
We do not control their outages, policies, approvals, or discontinued features and reasonably assist with issues in scope. This does not exclude responsibility for our own selection, configuration, or management failures.
Warranties and liability
We provide services with reasonable skill and care, materially in accordance with the Service Agreement. Apart from express commitments, we do not warrant uninterrupted or error-free operation or particular commercial results.
To the extent lawful, neither party is liable for indirect or consequential losses, including indirect loss of profits, revenue, opportunity, or goodwill. Each party’s aggregate liability under the affected Service Agreement is limited to fees paid or payable under it; for ongoing services, the limit is fees paid or payable for affected services in the 12 months before the event.
Limits do not apply to fraud, willful misconduct, gross negligence, unpaid contractual fees, or liabilities that cannot lawfully be limited. Mandatory consumer protections remain unaffected.
Suspension and termination
Either party may terminate for a material breach not remedied within 14 days of written notice where remediable, or under the Service Agreement’s cancellation provisions. We may immediately suspend affected services for unlawful activity, urgent security threats, or binding legal requirements, explaining the reason and restoration requirements as soon as reasonably practicable and lawful.
On termination, you pay for properly performed services and approved non-cancellable costs; we refund unearned prepayments, provide paid-for deliverables, and reasonably cooperate in returning client data and account access. Additional transition work is agreed separately. Confidential information and personal data are returned or deleted according to law and agreed retention. Ownership, confidentiality, outstanding payment, liability, and other intended continuing provisions survive.
Website use
Do not use our website for unlawful conduct, infringement, malicious code, unauthorized access, or interference. Content belongs to us or our licensors unless indicated otherwise. Lawful informational viewing is permitted; reproduction or commercial exploitation requires permission or another lawful basis. Website information does not replace an accepted quotation or Service Agreement.
Events beyond reasonable control
Neither party is responsible for delay caused by events beyond reasonable control if it promptly notifies the other and reasonably mitigates the impact. Payment for delivered services remains due. If an event materially prevents performance for more than 30 days, either party may terminate affected services by written notice, with payment and refunds calculated under these Terms.
Governing law and disputes
Governing-law jurisdiction and court location must be specified in the accepted Service Agreement. These details remain subject to confirmation by 360eMarket; no particular jurisdiction is selected by this draft page.
The parties will first attempt good-faith resolution. If unresolved within 30 days of written notice, either party may pursue remedies in a court of competent jurisdiction, subject to mandatory rights and jurisdiction rules. Urgent court relief remains available.
Changes and general provisions
Updated Terms apply to future engagements from their published effective date and do not retroactively alter accepted Service Agreements without mutual agreement. Material changes to ongoing services require advance notice and any required consent.
Neither party may bind the other or imply partnership, employment, or joint venture. An unenforceable provision does not invalidate the remainder; non-enforcement is not waiver. Formal notices go to Service Agreement contacts or the contact details below. Electronic acceptance and signatures may be used where lawful.
